1. Scope
These General Terms and Conditions (GTC) apply worldwide to all contracts between T2S AG (Switzerland) and customers regarding the use of "The Sharp Slot" software.
2. Subject of Contract & Scope of Services
The provider offers cloud-based software for appointment and salon management (SaaS). The functional scope depends on the selected package:
- Mini: Basic appointment management functions and digital customer files.
- Basis: Includes online booking system and email confirmations.
- Standard (Basis Reporting Edition): Includes appointment booking, email confirmations, access to reports, statistics, and inventory management.
- Premium: Full scope of functions including legally compliant fiscal localization (X and Z reports) for supported markets.
Employee Seats: Usage is limited to the number of employee seats purchased. A seat can be released by deleting an existing employee profile and then reassigned (reset), provided the total number of active profiles does not exceed the booked quota.
3. Conclusion of Contract & Founder Edition (Lifetime Access)
The contract is concluded through an online order. The "Founder Edition" grants a perpetual usage license for the duration of the operational availability of the "The Sharp Slot" software by T2S AG.
Special Note: The Founder status refers to the package and number of seats selected at the time of purchase. If the team is expanded beyond the purchased quota or if switching to a higher package (e.g., upgrade to Premium), the Lifetime status expires. In this case, the entire account will be switched to the current monthly subscription model.
4. Payment Terms & Taxes
Payments are due in advance. Customers outside Switzerland are responsible for the correct payment of all applicable local taxes (e.g., Sales Tax, GST, VAT) in their respective country. The system offers flexible formatting for date and currency.
5. Limitation of Liability (International Disclaimer)
Liability is limited to gross negligence and intent. For users in the USA and other Common Law countries, the following also applies:
For customers in Australia, mandatory statutory guarantees under the Australian Consumer Law (ACL) remain unaffected.
6. Right of Withdrawal (EU/CH)
Customers in the EU have a 14-day right of withdrawal. This expires prematurely as soon as performance of the contract has begun at the express request of the customer (digital content/SaaS).
7. Export Control & Usage
The customer warrants that they are not on any sanctions list of Switzerland, the EU, or the USA. The customer is responsible for the legally correct recording of their sales according to local laws.
8. Applicable Law & Jurisdiction
Only substantive Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is the registered office of T2S AG (Switzerland).
